Terms of Service

1. General Terms

By accessing and using Regrain, you confirm that you are in agreement with and bound by the terms of service contained in the Terms & Conditions outlined below. These terms apply to the entire website (www.regrain.co), mobile application, and any email or other type of communication between you and Bigcrunch Teknoloji Limited Şirketi (referred to in these Terms & Conditions as "Regrain", "we", "us", or "our"), the provider of the Regrain website and the services accessible from the Regrain platform (collectively referred to as the "Regrain Service").

Under no circumstances shall Bigcrunch Teknoloji Limited Şirketi be liable for any direct, indirect, special, incidental, or consequential damages, including, but not limited to, loss of data, profit, or AI-generated content, arising out of the use, or the inability to use, the materials on this site or app, even if Regrain or an authorized representative has been advised of the possibility of such damages. If your use of materials from this site or app results in the need for servicing, repair, or correction of equipment or data, you assume any costs thereof.

Regrain will not be responsible for any outcome that may occur during the course of usage of our resources, including AI-generated outputs. We reserve the rights to change prices (e.g., diamond costs), update features, and revise the resources usage policy at any moment with prior notice.

2. License

Regrain grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the app strictly in accordance with the terms of this Agreement.

These Terms & Conditions are a contract between you and Bigcrunch Teknoloji Limited Şirketi. You are agreeing to be bound by these Terms & Conditions. If you do not agree to these Terms & Conditions, please do not use the Regrain Service. In these Terms & Conditions, "you" refers both to you as an individual and to the entity you represent. If you violate any of these Terms & Conditions, we reserve the right to cancel your account or block access to your account without notice.

3. Definitions and Key Terms

To help explain things as clearly as possible in this Terms & Conditions, every time any of these terms are referenced, they are strictly defined as:

• Cookie: A small amount of data generated by a website and saved by your web browser. It is used to identify your browser, provide analytics, remember information about you such as your language preference or login information.
• Company: When this policy mentions "Company," "we," "us," or "our," it refers to Bigcrunch Teknoloji Limited Şirketi, located at Premier Kampüs Kağıthane Gürsel Mah., İmrahor Cad. No: 29, A Blok, Kat: 5, Ofis No: 196, 34400 Kâğıthane/İstanbul, responsible for your information under this Terms & Conditions.
• Country: Where Regrain or the owners/founders of Regrain are based, in this case is Turkey (TR).
• Device: Any internet-connected device such as a phone, tablet, computer, or any other device that can be used to visit Regrain and use the services.
• Service: Refers to the AI creation service provided by Regrain, including photo, video, and 3D content generation, as described on this platform.
• Third-Party Service: Refers to advertisers, promotional partners, or others who provide content or services we think may interest you.
• Website: Regrain's site, which can be accessed via www.regrain.co.
• You: A person or entity that is registered with Regrain to use the Services.

4. Restrictions

You agree not to, and you will not permit others to:

• License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the app or make the platform available to any third party.
• Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the app.
• Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of Regrain or its affiliates, partners, suppliers, or licensors.

5. Prohibited Uses

You agree that you will not, and will not permit any person accessing the Service using your account or device to:

• Use the Service in any manner not permitted by these Terms.
• Use the Service for purposes prohibited by applicable laws or regulations, or in any manner that violates others’ rights.
• Upload, publish, or transmit unlawful, fraudulent, harmful, defamatory, abusive, offensive, or hateful content, including content infringing intellectual property or privacy rights.
• Copy (except as expressly permitted) or modify the Service.
• Frame, mirror, or incorporate the Service into any other program or site.
• Use the Service in a manner that interferes with its integrity or performance.
• Use data mining or similar methods to extract data from the Service.
• Circumvent security features or intentionally misuse Generative AI Features (see Section 9).

6. Our Intellectual Property Rights

We or our licensors retain and exclusively own all rights, title, and interest in and to the Service and its content (including software, AI models, images, videos, 3D designs, and text), excluding User-Generated Content, including all intellectual property rights (copyrights, trademarks, trade secrets, etc.). We reserve all rights not expressly granted to you under these Terms.

7. User-Generated Content

The Service allows you to upload, store, create, modify, or share content (e.g., photos, videos, 3D designs) as User-Generated Content. We do not claim ownership rights to your User-Generated Content. You grant us a license to use it for operating, improving, and developing the Service, including AI model training with your consent, per our Privacy Policy. You are solely responsible for ensuring your User-Generated Content complies with these Terms and applicable laws.

8. Generative AI Features

The Service includes Generative AI Features (powered by Eachlabs) allowing you to generate content (e.g., photos, videos, 3D designs) from inputs. Your inputs and outputs are your User-Generated Content. You agree not to use these features to:

• Facilitate exploitation or abuse of children.
• Promote sexually explicit or profane content.
• Perform illegal or malicious activities (e.g., spam, phishing, misinformation).
• Encourage illegal use of alcohol, drugs, or weapons.
• Promote violence or hatred against individuals or groups.
• Depict gratuitous violence or dangerous activities.

9. Your Suggestions

Any feedback, comments, or suggestions (collectively, "Suggestions") provided by you to Regrain shall remain the sole and exclusive property of Bigcrunch Teknoloji Limited Şirketi. We may use, copy, modify, or publish Suggestions without credit or compensation to you.

10. Your Consent

By using our app, registering an account, or spending diamonds, you consent to these Terms & Conditions. We may update these Terms, and continued use after updates constitutes acceptance.

11. Links to Other Websites

This Terms & Conditions applies only to the Regrain Service. Linked third-party websites are not controlled by us, and we are not responsible for their content or practices.

12. Changes to Our Terms & Conditions

We may modify or discontinue the Service at our discretion without prior notice. Changes to these Terms will be posted here with the updated date. Continued use after changes indicates acceptance.

13. Modifications to Our App

Regrain reserves the right to modify, suspend, or discontinue the app or services with or without notice and without liability.

14. Updates to Our App

We may provide enhancements or Updates to the app, which you agree are part of the app and subject to this Agreement. We are not obligated to provide Updates or specific features.

15. Third-Party Services

We may include third-party content or links. Regrain is not responsible for their accuracy or legality. Use them at your own risk under their terms.

16. Term and Termination

This Agreement remains in effect until terminated by you or Regrain. We may terminate it at our discretion with or without notice. Termination requires you to cease use and delete the app.

17. Copyright Infringement Notice

If you believe material on our app infringes your copyright, contact us at hello@bigcrunch.co with: (a) your signature, (b) identification of the infringed material, (c) your contact details, (d) a good faith belief statement, and (e) accuracy declaration under penalty of perjury.

18. Indemnification

You agree to indemnify Regrain and its affiliates from claims arising out of your use, violation of this Agreement, or infringement of third-party rights.

19. No Warranties

The app is provided "AS IS" and "AS AVAILABLE" without warranties. Regrain disclaims all implied warranties, including merchantability and fitness for purpose, to the extent permitted by law.

20. Limitation of Liability

Regrain’s liability is limited to amounts paid by you for the app. We are not liable for special, indirect, or consequential damages, even if advised of their possibility, to the extent permitted by law.

21. Severability

If any provision is unenforceable, it will be interpreted to accomplish its objectives, and remaining provisions remain in effect.

22. Waiver

Failure to enforce a right does not waive it. No single waiver affects future enforcement.

23. Amendments to this Agreement

We may modify this Agreement with 30 days notice for material changes. Continued use after revisions binds you to the new terms.

24. Entire Agreement

This Agreement, with the Privacy Policy, constitutes the entire understanding between you and Regrain, superseding prior agreements.

25. Intellectual Property

The app and its content are owned by Bigcrunch Teknoloji Limited Şirketi or licensors, protected by TR and international laws. Unauthorized use is prohibited.

26. Agreement to Arbitrate

Disputes (except intellectual property claims) will be resolved by binding arbitration per American Arbitration Association rules, with notice and negotiation attempts.

27. Submissions and Privacy

Submissions to Regrain become our property, usable without compensation.

28. Promotions

Promotions may have separate rules. Participation requires compliance with those rules.

29. Typographical Errors

We may cancel orders due to pricing errors, refunding any charges.

30. Miscellaneous

Unenforceable provisions will not affect the rest. This Agreement is governed by Turkish law, with courts in İstanbul having jurisdiction.

31. Disclaimer

Regrain is not responsible for content accuracy or guarantees. We disclaim liability for damages arising from use, per Turkish law.
